Notarized Contracts: Key to Secure Real Estate Deals in Vietnam
The notarial record in Viet Nam is not a decisive factor in adjudication. This can be demonstrated through several prominent disputes, in which the notarial record is only considered as evidence of events and actions but cannot replace legal contracts in Vietnam.
Understanding the value of a notarial record and the difference between a notarial record and notarized contracts is extremely important.
The bailiff in Vietnam is not permitted to create a record for events under the jurisdiction of notaries or local People’s Committees. Before preparing the record, the bailiff is responsible for clearly explaining to the requester the legal value of the record according to regulations. In Vietnam, a bailiff (Thừa phát lại) is a legal professional authorized to perform certain judicial and administrative functions, primarily related to civil enforcement, legal notifications, and evidence recording. Bailiffs operate under government authorization but function independently, offering legal services.
According to Vietnamese law, real estate transactions must be conducted through notarized contracts or authenticated by competent authorities. The use of a notarized document to record this asset transaction may lead to legal disputes later, when the parties cannot prove the legality of the transaction before a Vietnamese court.
In light of the increasing number of real estate transactions through “vi bằng,” Vietnamese authorities have been and are strengthening control measures to prevent the misuse of “vi bằng” for illegal purposes. The Department of Justice of Ho Chi Minh City advises organizations and individuals to contact notary organizations to carry out real estate transactions according to the legal procedures in Vietnam.

Theo quy định của pháp luật Việt Nam, giao dịch mua bán nhà đất phải được thực hiện qua hợp đồng công chứng hoặc chứng thực của cơ quan có thẩm quyền. Việc sử dụng vi bằng để ghi nhận giao dịch tài sản này có thể dẫn đến các tranh chấp pháp lý về sau, khi các bên không thể chứng minh được tính hợp pháp của giao dịch trước tòa án Việt Nam.
Trước tình trạng gia tăng các giao dịch nhà đất qua vi bằng, các cơ quan chức năng Việt Nam đã và đang tăng cường các biện pháp kiểm soát, để tránh tình trạng lạm dụng vi bằng vào mục đích trái pháp luật. Sở Tư pháp TP HCM khuyến cáo các tổ chức, cá nhân liên hệ với các tổ chức hành nghề công chứng để thực hiện các giao dịch nhà đất theo đúng quy trình pháp lý ở Việt Nam.
